Agreement Framework
Overlay's Terms of Service are based on the Common Paper Cloud Service Agreement (Version 2.1). Common Paper is an open-source standard for cloud service agreements, designed to be fair and balanced for both parties.
Service Description
Overlay provides a security monitoring and control layer for AI coding agents. The service includes real-time file system monitoring, network protection, command sandboxing, secrets detection, misuse prevention, and an AI Security Engineer — delivered as a cloud-hosted platform accessible via web dashboard and CLI integrations.
Overlay-Specific Terms
Provider
Overlay is operated by an entity incorporated in Canada.
Data Handling
All customer data processing is governed by our Data Processing Agreement. We process telemetry and security event data necessary to provide the service. No customer source code is stored or transmitted to third parties.
Subscription & Billing
Service plans, pricing, and feature availability are described on our Pricing page. All plans include a 14-day free trial. Subscriptions renew automatically unless cancelled before the end of the billing period.
Acceptable Use
You may not use Overlay to facilitate unauthorized access to systems, bypass security controls on systems you do not own, or engage in any activity that violates applicable law.
Governing Law
This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
